Acquisition opportunity at a glance
The company is a joinery business operating since 1966 in the northern Berlin area and manufacturing exclusively for commercial customers: individual exhibition construction, supply work for exhibition and shopfitters, and small series of up to around 1,000 parts per batch.
Over six decades, the company has developed a high level of vertical integration ranging from CNC-supported free-form machining, edging technology, pressing and veneering to in-house painting. The business model is a pure supplier role without competing with its own customers. Clients include exhibition builders, shopfitters, architects and project managers; they provide finished plans, retain the end-customer relationship and expect rapid, quality-assured implementation. Deliveries are made throughout Germany.
The financial picture is stable: revenue over the past four years ranged between €1.9 million and €2.1 million, with an average adjusted EBIT margin of 12.7%. The balance sheet is exceptionally solid, with an equity ratio of around 95% and no bank liabilities at any reporting date in the period reviewed. The business is supported by eleven employees, including three master-qualified specialists and two apprentices. Employee tenure extends beyond 30 years.
Subcontractors also work within the company’s own production facilities. Investment case: - Demand has exceeded the company’s production capacity for years and orders are regularly declined. The bottleneck lies in production, not sales. - CNC free-form machining with edging and small-series capability up to around 1,000 parts is a segment with limited competition. - Incoming orders are generated entirely through recommendations, without a sales organization or sales costs.
Even modest sales activity could further increase demand. - The machinery has recently been significantly modernized; there is no short-term investment backlog. - Management estimates that around six additional skilled workers could enable approximately 25% more revenue. The succession is driven by the age-related succession of two owners; an internal family takeover is not planned.
100% of the shares are offered through a simplified bidding process as a cash-and-debt-free share deal. A handover by the end of 2027 is possible, and management is available for an orderly induction of the successor or an appointed manager. The land and halls are owned by an affiliated property company and rented to the operating business; the lease can be continued and is not part of the transaction.
Target buyers include strategic acquirers from exhibition, shopfitting and interior construction seeking additional production capacity, as well as master-qualified successors from the skilled trades.
